Center For Highland Natural Resource Governance

Founded in January 2015, CEGORN is a science and technology organization under the Vietnam Union of Science and Technology Associations (VUSTA). The center operates under the Science and Technology Activity Registration License No. A-1253 issued by the Ministry of Science and Technology on January 30, 2015.

As an independent non-profit organization, CEGORN has the following main goals:


Preservation and development
the local culture

Research and consulting to support sustainable management of natural resources

Raise public awareness of the law

All of these measures are intended to advance the sustainable growth of rural and mountainous regions, with a special focus on women, the economically disadvantaged, and ethnic minorities.

Create a space in which ethnic minorities, women and people living in rural and mountainous areas, upstream and buffers can promote their culture and are able to access land and natural resources
through research, policy analysis, program empowerment
and applying local knowledge.

Chapter I

GENERAL PROVISIONS

Article 1. Legal basis for operation
The Center for Highland Natural Resource Governance Research (hereinafter referred to as “the Center” for short) is a science and technology organization under the Vietnam Union of Science and Technology Associations (hereinafter referred to as “the Vietnam Union of Associations”), operating under the Law on Science and Technology No. 29/2013/QH13, Decree No. 08/2014/ND-CP dated January 27, 2014, of the Government, Circular No. 03/2014/TT-BKHCN dated March 31, 2014, of the Ministry of Science and Technology, the Vietnam Union of Association’s Charter and regulations.

Article 2. Legal status

  1. Name in Vietnamese: Trung tâm Nghiên cứu Quản trị tài nguyên vùng cao.
    Name in English: Center for Highland Natural Resource Governance Research.
    Abbreviated name in English: CEGORN.
  2. Head office: in Dong Le town, Tuyen Hoa district, Quang Binh province
    The Center has independent legal status, has its own seal, and has a bank account in Vietnamese currency and foreign currency.
  3. The Center is headquartered in Quang Binh province, during its operation, the Center can open branches and representative offices at home and abroad according to the provisions of Vietnamese law and the laws of the host countries. Branches and representative offices established by the Center will not have independent legal status.
Article 3. Operating principles
The Center operates on the principle of autonomy, self-management, and self-finance under the provisions of law, the Charter and regulations of the Vietnam Union of Associations, self-responsibility for scientific activities and technology recorded in the Certificate of registration of scientific and technological activities issued by the Ministry of Science and Technology and the Center’s organization and operation regulations approved by the Vietnam Union of Associations.

Chapter II

FUNCTION, DUTY, POWER AND OBLIGATION

Article 4. Function and Duty
  1. Function
    Connecting scientists, experts, and qualified staff to conduct research activities and scientific and technological services in resource management to promote sustainable development in highland areas.
  2. Duty
  • Researching, developing, and implementing projects in the field of upland resource management in terms of agro-forestry economic development, resource management, environmental protection, response to climate change, solutions for sustainable management of natural resources, and building models of sustainable development in highland and rural areas.
  • Implementation of science and technology services: consulting, project evaluation, capacity building and raising awareness for the community, and technology transferring. Organizing conferences, seminars, training, disseminating knowledge, and supplying products to the market based on research results in the field of natural resource management
  • Associating and cooperating with domestic and foreign organizations and individuals to carry out the tasks of CEGORN in accordance with the regulations of the State and the Vietnam Union of Associations.
Article 5. Power, Obligation
  1. Power
  • Autonomy in organizational structure, human resources, finance, and independent accounting, signing economic contracts, carrying out scientific and technological activities, and deciding prices of research products and scientific services. Science and technology; Autonomously sign cooperation agreements with domestic and foreign organizations and individuals to carry out the Center’s tasks under the law and the Vietnam Union of Associations.
  • Develop action plans and carry out activities according to approved functions and duties.
  • Cooperation, joint venture, and association with domestic and foreign individuals and organizations receive funding; contribute capital in money, property, and property rights to conduct scientific and technological activities under the Center’s functions, tasks, and regulations and according to the provisions of law.
  • Publishing, advertising, introducing, and transferring the result of scientific and technological activities under the Law on Press, the Law on Publication, other provisions of the law, and the Vietnam Union of Associations.
  • Other rights specified in the Law on Science and Technology, relevant legal documents and regulations of the Vietnam Union of Associations.
  1. Obligation
  • Comply with the law, regulations of the Vietnam Union of Associations and the Center; operate in accordance with the contents stated in the Certificate of Operation Registration; comply with the provisions of law when operating in the fields that require conditions.
  • Comply with legal and financial regulations, register for tax identification numbers, declare tax, pay taxes, ensure the rights and interests of employees, and implement social insurance, health insurance, and insurance regimes. Unemployed, responsible for the quality of products and services according to registered or announced standards.
  • Implement the reporting regime to the Vietnam Union of Associations, the Ministry of Science and Technology and relevant authorities as prescribed.
  • Protecting national interests, keeping science and technology secrets. Contributing to the development of the Vietnam Union of Associations Other obligations as prescribed.

Chapter III

ORGANIZATIONAL STRUCTURE

Article 6. Organizational structure of the Center
  1. Management Board;
  2. Scientific Council
  3. Leadership Board;
  4. Chief accountant;
  5. Offices and Functions/Departments;

Article 7. Management Board

  1. Organizing
  • After the decision on the establishment of the Center is issued, the Founding Council is transformed into a Management Board. The Council is the highest decision-making body of the Center, which exists during the legal operation of the Center and only terminates in the event the Center is dissolved.
  • The Management Board is recognized by the Vietnam Union of Associations.
  • The Management Board may add or change members when it is agreed by two-thirds of the members of the Management Board or more and is recorded in writing
  • The Management Board consists of the Chairman, Vice Chairman, remaining founding members and additional members.
  1. Duties and powers of the Management Board
  • Determine the Center’s vision and development plan.
  • Formulating development strategy and long-term, short-term, and annual operation plan of the Center.
    Approving the financial plans and financial settlement of the Center.
  • Deciding on organizational structure, operation and management regulations, forms of reward and discipline.
  • To additionally elect or change members of the Management Board, the President, and the Vice-Chairman from among the members of the Management Board and request the Vietnam Union of Associations to issue a decision on recognition.
  • To propose the Vietnam Union of Associations issue a decision on the appointment and dismissal of the Director; approve the position of Deputy Director, Chief Accountant offered by the Director to submit to the Vietnam Union of Associations for making the decision.
  • Amending and supplementing the Charter of the Center and requesting the Vietnam Union of Associations to issue a decision.
    Inspecting and monitoring the activities, assets and finances of the Center.
  • Deciding on the self-dissolution of the Center and requesting the Vietnam Union of Associations to issue a dissolution decision.
    Other rights as prescribed by law and the Charter of the organization.
  1. Responsibilities of the Management Board.
  • Responsible for the resolutions and decisions of the Management Board.
  • To issue decisions and resolutions legally under the organizational charter approved by the Vietnam Union of Associations.
  1. Activities and working principles of the Management Board.
  • The Management Board shall meet every six months or may convene an extraordinary meeting at the request of the Chairman of the Management Board or two-thirds of the members or more.
  • The contents of the meeting and decisions of the Management Board must be made in writing. The meeting is valid when at least 2/3 of the members of the Management Board attend the meeting. Resolutions and decisions of the Management Board are adopted and take effect when approved by at least 2/3 of the total number of members of the Management Board.
  1. Powers and responsibilities of the Chairman of the Management Board
  • Administering and managing the activities of the Management Board. Convene and chair meetings of the Board of Management, and develop the agenda for the meeting.
  • Assign tasks to members of the Management Board.
  • Sign documents and resolutions under the authority of the Management Board.
  • Supervise the organizing and implementing of resolutions and decisions of the Management Board between the two sessions.
  • The Chairman of the Management Board has a term of 5 years, is re-elected for an unlimited number of terms, and can be dismissed before the end of his term. The Chairman of the Management Board may concurrently hold the position of Director.
  1. Powers and responsibilities of the Vice-Chairman of the Management Board.
  • Doing tasks authorized by the Chairman of the Management Board
  • On behalf of the Chairman of the Management Board, manage the activities of the Management Board when the Chairman is absent and authorized.
Article 8. Scientific Council
  1. The Scientific Council comprises qualified scientists and experts with extensive field experience. The Scientific Council advises the Director to implement science and technology tasks and evaluate, appraise, and criticize projects.
  2. The Scientific Council consists of the Chairman, the secretary, and some members invited by the Director after approving the Management Council and deciding to establish and operate in accordance with the Center’s regulations.
  3. The Center can set up specialized scientific councils consisting of people inside and outside the Center suitable for each specific issue.
Article 9. Leadership Board
  1. Director
  • The Director is the legal representative and the account holder of the Center; who takes full responsibility for the organization and operation of the Center under the supervision of the Management Board and is responsible to the Management Board, the Vietnam Union of Associations, and the law. The Vietnam Union of Associations appoints the Director based on the recommendation of the Management Board.
  • Duties and powers of the Director.+ Effectively manage and use the Center’s capital resources, organize and implement the decisions of the Management Board, administer the Center’s daily work, and implement the accounting and financial management regimes under the financial regulations of the State and the Vietnam Union of Associations.+ Develop organizational structure, operation and management regulations, reward and discipline forms; promulgate regulations; reward and discipline proposal of the Center.
    + Selection of Vice Directors and Chief Accountant through the Management Board to submit to the Vietnam Union of Associations for appointment decision.
    + To decide on the appointment and dismissal of departmental managers of the Center (except for those under the appointment and dismissal competence of the Vietnam Union of Associations).
    + Decide salary and allowances (if any) for employees of the Center.
    + Recruit employees, sign labor contracts, and terminate labor contracts under the provisions of the Labor Law.
    + To make decisions on establishing or dissolving specialized divisions/departments of the Center according to the resolution of the Management Board.
    + Other rights and duties shall comply with the Charter of the Center, the provisions of law, and the regulations of the Vietnam Union of Associations.
  • The term of the Director is 5 years.

  1. Vice-Director.
  • The Vietnam Union of Associations appoints and dismisses the Vice-Director based on the Director’s proposal. The Vice-Director’s responsibility is to assist the Director in running the Center according to the assignment and authorization of the Director and to be responsible to the Director and the law for their tasks.
  • The term of the Vice-Director is 5 years.
Article 10. Chief accountant
  1. . The Chief Accountant is the assistant to the Director to manages the Center’s financial and accounting work and is responsible for ensuring the Center’s financial and accounting activities are under the financial and accounting regulations of the Center. Government. The Chief Accountant shall be appointed and dismissed by the Vietnam Union of Associations at the Director’s proposal and with the Management Board’s consent.
  2. The term of the Chief Accountant is 5 years.
Article 11. Offices and functional divisions/departments
  1. The Center has Offices and functional Divisons/Departments (these divisions do not have independent legal status). The Head Center shall decide the establishment of divisions as well as the appointment and dismissal of Heads and Vice-Heads of these divisions.
  2. Human resource
  • The Center’s human resources include official staff not on the State payroll, part-time officials, and collaborators who voluntarily participate in activities at the Center. The Center’s employees are paid salaries, allowances, and other benefits based on their completed workload.
  • The obligations and powers of individuals and departments of the Center are specified in detail in the Center’s Regulations and in the labor contract.
  • Individuals and departments are responsible for strictly implementing the Charter and Regulations of the Center. Any individual or department that violates, depending on the severity, will be disciplined; if causing public financial loss, they will have to pay compensation or be handled according to law.

Chapter IV

INFRASTRUCTURE - TECHNICAL AND FINANCIAL

Article 12. Financial principles
  1. The Center operates on financial autonomy, self-management, and self-accounting under current law regulations on finance and accounting.
  2. The financial year of the Center begins on January 1 and ends on December 31 of each year.
Article 13. Revenue sources
  1. .Capital contribution of members.
  2. Profits from research, services and other lawful activities of the Center.
  3. Loans from banks and credit institutions.
  4. Sponsorship of domestic and foreign organizations and individuals
  5. Other lawful sources of income.

Article 14. Use of finance

  1. Frequent expenditure of the Center
  2. Expenses for implementing programs and projects, operating under the Center’s functions and tasks
  3. Purchase and hire of material and technical means necessary for the operation of the Center.
  4. Fulfill obligations to the State and the Vietnam Union of Associations.
  5. Other legal expenses.
  6. After payment and reimbursement of expenses and fulfillment of obligations, the remaining profits will be used for Funds (Investment and Development Fund, Welfare Fund, Bonus Fund…).
Article 15. Property
  1. The Center decides authorized capital by itself. However, the capital in cash at the time of establishment must ensure sufficient funds for the recurring expenditure of the Center for at least 01 year. The Center’s assets include fixed assets and other assets added during its operation. The Chairman of the Management Board and the Director are responsible for managing assets and inventory in accordance with current regulations of the Goverment.
  2. The Center’s lawful financial assets and revenues shall be divided according to the capital contribution ratio decided by the Management Board.

Chapter V

SUSPENSION AND DISSOLUTION

Article 16 Cases of suspension or dissolution
  1. The Center applies for self-dissolution or suspends operations.
  2. The Center is decided by the Vietnam Union of Associations to suspend its operation (definitely or indefinitely) or dissolve in the following cases:
  • The ineffective operation and inability to perform functions, tasks, and objectives of the Center.
  • Violating the Charter and regulations of the Vietnam Union of Associations to the point of being suspended or dissolved.
  • The certificate of registration of scientific and technological activities has been canceled.
  • Violating the law to the point of suspension or dissolution.
Article 17. Procedures for dissolution
  1. In case of dissolution, the liquidation of assets and dissolution procedures will be carried out by the Center under the order and provisions of the law. After paying debts and contributions of members, all assets of the Center will be donated to organizations/funds operating for charity, humanitarian and non-profit purposes. The Chairman of the Management Board and the Director are responsible for the debts and financial disputes of the Center upon dissolution under the law.
  2. The Vietnam Union of Associations shall issue a decision on the dissolution of the Center when a decision or resolution is submitted to the competent authority to request the dissolution.

Chapter VI

TERMS AND CONDITIONS

Article 18. Conditions for amending and supplementing the Charter of organizing and operating
The Center may supplement or amend the Charter of organizing and operating during its operation. Supplements and amendments are proposed by the Director when approved by the Management Board and the Vietnam Union of Associations.

Article 19. Effect of the Charter of organizing and operating
This organizing and operating Charter consists of 06 chapters and 19 articles and takes effect when the Vietnam Union of Associations signs the decision.
